1 Acceptance of Terms

By accessing, browsing, registering on, or using the Filing Mantra website, mobile application, or any associated service, you confirm that:

• You are at least 18 years of age and have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872.
• If you are accessing the platform on behalf of a business entity, you have the authority to bind that entity to these Terms.
• You have read, understood, and agree to be bound by these Terms & Conditions, our Privacy Policy, and our Refund Policy.
• You will use the platform only for lawful purposes and in accordance with all applicable Indian laws and regulations.

2 Description of Services

Filing Mantra provides a technology-enabled platform that facilitates:

• Business registration services including company incorporation, partnership firm registration, LLP, OPC, and more.
• Tax compliance services including GST registration, GST return filing, ITR filing, TDS compliance, and tax advisory.
• MCA/ROC compliance services including annual filings, director KYC, company closure, and secretarial services.
• Other business registrations including FSSAI, Trademark, MSME, Import-Export Code, and professional licenses.

Our services utilize a combination of qualified human professionals (Chartered Accountants and Company Secretaries) and AI-powered automation (Jane AI) to deliver these services efficiently and accurately. We act as a technology facilitator and professional services aggregator — we do not provide legal advice independent of specific service engagements.

3 User Obligations

As a user of the Filing Mantra platform, you agree to:

• Provide Accurate Information: Furnish truthful, accurate, current, and complete information during registration, onboarding, and throughout the service delivery process.
• Maintain Account Security: Keep your login credentials confidential and not share them with third parties. You are responsible for all activity that occurs under your account.
• Authenticate Documents: Ensure that all documents uploaded to our platform are authentic, legally valid, and not forged, altered, or fraudulent. Submission of false documents is a criminal offense under Indian law.
• Timely Cooperation: Respond to requests from our compliance team in a timely manner, as delays caused by client non-responsiveness may affect service timelines.
• Legal Use Only: Use the platform exclusively for lawful purposes. You must not use our services to facilitate any illegal activity, tax evasion, money laundering, or fraud.
• Update Information: Promptly notify us of any changes to your contact details, business information, or circumstances that may affect your service requirements.

4 Fees and Payments

The following terms govern all financial transactions on our platform:

• Fee Disclosure: All professional service fees are disclosed at the time of purchase before you make a payment. Government fees are itemized separately and may be subject to change based on official government regulations.
• Payment Processing: All payments are processed through secure, PCI-DSS compliant third-party gateways. Filing Mantra does not store your payment card information.
• Government Fee Changes: Government filing fees, stamp duty rates, and regulatory charges are subject to change by the respective authorities. Any such changes will be passed on to clients with prior notification where possible.
• Refunds: All refunds are governed by our separate Refund Policy, which forms an integral part of these Terms.
• Taxes on Services: All professional fees quoted are inclusive of applicable GST (Goods and Services Tax) at the prevailing rate, unless explicitly stated otherwise.

5 Intellectual Property

All content, technology, and materials on the Filing Mantra platform are the intellectual property of LogicPro Advisors / Filing Mantra:

• The Filing Mantra brand name, logo, taglines, and associated trademarks are registered or pending registration and may not be used without written permission.
• All website content including text, graphics, user interface elements, code, and design is protected under Indian copyright law.
• The Jane AI system, its algorithms, and associated workflows are proprietary technology of Filing Mantra.
• You may not copy, reproduce, distribute, republish, or create derivative works from our content without express written consent.

6 AI Assistant (Jane AI) Disclaimer

Our platform utilizes "Jane AI" to provide real-time assistance and workflow automation. The following disclaimers apply:

• Jane AI outputs are tools to assist professionals, not replacements for professional judgment.
• Filing Mantra is not liable for errors arising from AI processing where incorrect or incomplete input data was provided by the client.
• All critical filings are reviewed and certified by licensed professionals before submission.
• Users should not rely solely on AI-generated information for making significant legal or financial decisions.

7 Limitation of Liability

To the maximum extent permitted by applicable law:

• Filing Mantra's total liability for any claim arising from or related to our services shall not exceed the amount paid by you for the specific service giving rise to the claim.
• We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, business opportunities, or data.
• We are not responsible for delays or failures caused by government portals, regulatory authorities, technical outages of third-party systems, or factors beyond our reasonable control.
• We are not liable for outcomes of government decisions regarding applications submitted on your behalf, including rejections, delays, or additional requirements imposed by authorities.

8 Indemnification

You agree to indemnify, defend, and hold harmless Filing Mantra, its parent company LogicPro Advisors, directors, employees, partners, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your violation of these Terms & Conditions.
• Your submission of false, fraudulent, or inaccurate information or documents.
• Your violation of any applicable law, regulation, or third-party rights.
• Any unauthorized use of your account or credentials.

9 Prohibited Activities

You agree not to use the Filing Mantra platform to:

• Engage in any fraudulent, deceptive, or illegal activity.
• Upload or submit forged, altered, or counterfeit documents.
• Attempt to gain unauthorized access to our systems, other user accounts, or government portals.
• Transmit viruses, malware, or any other harmful code.
• Engage in activities that violate the Indian Penal Code, IT Act 2000, or any other applicable Indian legislation.
• Use our platform in a manner that could damage, disable, or impair the platform's functionality.
• Harvest, scrape, or extract data from our platform using automated tools without our written consent.

10 Termination

Filing Mantra reserves the right to:

• Suspend or terminate your account and access to the platform immediately, without prior notice, if we believe you have violated these Terms or engaged in fraudulent or illegal activity.
• Refuse service to any user at our discretion, particularly where compliance risks are identified.
• Terminate inactive accounts after a period of 24 months of inactivity, with reasonable prior notice.

Upon termination, your right to use the platform ceases immediately. We will retain your data as required by law and as described in our Privacy Policy.

11 Governing Law & Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Ghaziabad, Uttar Pradesh, India.

Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiation. If unresolved after 30 days, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the venue in Ghaziabad, Uttar Pradesh.

12 Changes to These Terms

Filing Mantra reserves the right to update or modify these Terms & Conditions at any time. We will notify users of material changes via:

• Email notification to your registered email address.
• A prominent notice on our website homepage.
• An updated "Last Updated" date at the top of this page.

Your continued use of the platform after any such changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
